Jenisha Parikh, is a commercial lawyer and an alumna of West Bengal National University of Juridical Sciences, Kolkata. She has advised on a number of domestic and cross-border transactions involving VC / PE funding, M&A (strategic acquisitions, exits including through schemes of merger/demerger) and joint ventures across sectors. Additionally, her expertise also involves advising on regulatory matters, with a specific focus on outbound transactions / ODI transactions. She has advised domestic and offshore investors, HNIs/angel investors, start-ups, unicorns, listed companies and family offices, in various sectors such as fintech, ed tech, fractional ownership of assets, pet care, tech, food retail, manufacturing, pharmaceuticals, insurance.

In case of transactional assistance on VC / PE and M&A matters, she has advised on a range of deals involving varying complexities, including undertaking due diligences, structuring, strategy, advisory on permissibility of foreign investments in a given sector. As part of her regulatory practice, she advises on Indian exchange control related matters (overseas investments, inbound foreign investments, export / import regulations, permissiblity of transactions under FEMA), SEBI regulations and on sector specific laws (fintech, edtech, drugs and cosmetics, food safety related to name a few). She also assists in filing of compounding applications to RBI, settlement applications to SEBI and seeking exemption from the takeover code for certain matters from SEBI. She has previously worked at the Mumbai offices of Trilegal, Nishith Desai Associates and Cyril Amarchand Mangaldas.


Ashish Sodhani, is an international tax lawyer. He focuses on cross border tax and corporate structuring transactions including tax litigation and controversy. He has advised foreign education institutions, EdTech companies, pharmaceutical companies, start-ups, not-for-profits, listed companies, gaming companies etc. on international tax and exchange control issues. He also has substantial structuring experience which has allowed him to play a pivotal role in externalising and globalising Indian companies. He has also acted and advised on several cross-border mergers and acquisitions and has significant experience on private equity investment.

He is constantly providing advice to clients on availability of treaty benefits who have made investment into India, applicability of withholding tax when making payments from India, applicability of the equalisation levy. On the indirect tax side, he has advised number of gaming companies, educational institutions on the applicability of GST applicability, provided pre-litigation advisory and advised clients on raids conducted by the GST department. He also advises on litigation strategy and appears in select matters before the Supreme Court of India, High Courts and Tribunals including on matters relating to indirect transfer tax, transfer pricing applicability and other such international tax disputes. He has successfully represented investment funds before the High Court on matters relating to applicability of Minimum Alternate Tax, withholding tax issues in the healthcare industry. In his former role he lead the GST, tax litigation and controversy, transactional tax practice at Nishith Desai Assocaites.
